STANDARD TERMS AND CONDITIONS OF SALE


1. Prices and Payment

    1. All prices are quoted in THB and are exclusive of VAT unless stated otherwise.
    2. Payment terms are strictly as stated on the invoice (e.g., 14/30 days from invoice date).
    3. Late payments may incur interest charges at a rate of [X]% per month.

2. Orders and Deliveries

    1. Orders are subject to availability and acceptance by Foodsmiths.
    2. Delivery dates provided are estimates and not guaranteed. Delays shall not be grounds for cancellation or compensation.
    3. Claims for shortages or damages must be made within 24 hours of delivery.

3. Ownership and Risk

    1. Title to goods remains with Foodsmiths until full payment is received.
    2. Risk passes to the buyer upon delivery.

4. Returns and Refunds

    1. Returns are accepted only for damaged, defective, or incorrect items and must be reported within 24 hours.
    2. Returned goods must be in original condition and packaging. Perishable or frozen items are non-returnable unless faulty.

5. Product Specifications

    1. Product specifications, including weight and packaging, are subject to change without prior notice.
    2. Images on our website or catalogs are for reference only.

6. Force Majeure

    1. Foodsmiths shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including but not limited to natural disasters, transport disruption, or supplier failure.

7. Limitation of Liability

    1. Foodsmiths shall not be liable for any indirect, incidental, or consequential losses arising from the sale or use of its products.

8. Governing Law

    1. These terms shall be governed by and construed in accordance with the laws of Thailand.
    2. Any disputes shall be settled under the jurisdiction of the courts of Bangkok, Thailand.

9. Acceptance

By placing an order with Foodsmiths, the customer agrees to these terms and conditions.
